ZELVU Education Partner Agreement and Conduct and Claims Policy
Version 2026-10-v1
1. Parties and nature of the relationship
This agreement is between Lex Orbis Education (OPC) Private Limited, which operates ZELVU Education ("ZELVU"), and the person or organisation that applies through zelvueducation.com/partners ("Partner").
The Partner is an independent referral partner. Nothing here creates employment, agency, partnership or joint venture. There is no salary, fixed hours, targets, exclusivity or leave. The Partner works at their own cost and discretion, and may stop at any time.
The Partner has no authority to sign contracts, accept money, give refunds, change fees or make commitments on behalf of ZELVU.
2. No joining fee, ever
ZELVU charges no fee, deposit, security, kit price or minimum purchase to become or remain a Partner. The Partner must never ask any person to pay money to join, and must report anyone who does.
Commission is paid only for real course sales to learners. Introducing other partners is not itself rewarded. A Team Lead, where appointed by ZELVU, earns a team override only on verified course sales made by partners they support.
3. What earns commission
Commission is earned when a learner (a) reaches ZELVU through the Partner's referral link, or enquires using the Partner's code, or is a lead the Partner registered and ZELVU approved before purchase, and (b) completes a payment that ZELVU's payment bank has verified as paid.
Attribution is to one Partner per order. The most recent referral link the learner used within 30 days before purchase is credited, unless ZELVU approved an earlier written claim. ZELVU's records decide attribution, and ZELVU may correct an attribution that is wrong.
No commission is earned on a Partner's own purchase or a purchase by their household, or on any test, internal, staff or fraudulent transaction.
4. Rates, refund window and payment
The commission rate for the Partner's type is shown in the Partner dashboard and is recorded on each sale at the time of that sale. ZELVU may change rates for future sales by giving notice in the dashboard; a change never reduces commission already recorded.
Commission is calculated on the amount actually received for the course, excluding any tax collected, and becomes payable after the refund window shown in the dashboard (currently 14 days from payment) provided no refund has been requested or made.
ZELVU pays by UPI or bank transfer to the account verified in the Partner's name, once the cleared amount reaches the minimum payout shown in the dashboard (currently INR 500). Amounts below the minimum carry forward.
ZELVU deducts tax at source where the law requires, and shows the amount deducted on each payout statement. The Partner is responsible for their own income tax and, where the law requires, GST registration and invoicing. The Partner must provide accurate KYC details (name, PAN and payout account) before the first payout.
5. Refunds and reversals
If a learner's payment is refunded in full or part under ZELVU's Refund and Cancellation Policy, the related commission is reduced in the same proportion. If commission has already been paid, the amount is recovered by deduction from future commission. ZELVU does not demand cash back except where a payment was obtained by the Partner's misconduct.
Refund decisions belong to ZELVU alone. The Partner must not promise a refund or discuss a refund on ZELVU's behalf.
6. Conduct and claims policy
The Partner must describe ZELVU's programmes accurately, using only the fees, access periods, features and recognition stated on zelvueducation.com or in material ZELVU supplies.
The Partner must not state or imply: guaranteed selection, rank, result, pass, job, salary or income; that ZELVU or any programme is affiliated with, approved by, or a study or admission centre of any university, court, commission or government body unless ZELVU's website says so; that a degree is issued or guaranteed by ZELVU; discounts, free offers or fee concessions ZELVU has not announced; or earnings a Partner can expect.
The Partner must not use misleading testimonials, fake reviews, fake urgency or false scarcity; impersonate ZELVU staff or faculty; run paid advertising using ZELVU's name, logo or brand keywords without written permission; send unsolicited bulk messages, calls or spam; or contact people on do-not-disturb or opt-out lists.
The Partner must not collect payments, learners' passwords, OTPs, card, bank or identity-document details. Payment is made only by the learner on ZELVU's official checkout. The Partner must not take money, "registration" or "token" amounts from anyone.
The Partner must respect privacy. Any personal details a learner shares with the Partner are used only to introduce that learner to ZELVU, with the learner's permission, and are never sold, shared or kept for any other purpose.
The Partner must tell learners they are a Partner paid commission by ZELVU when asked, and must send learners to ZELVU's admissions team for fee, refund, eligibility or recognition questions.
7. Brand material and intellectual property
ZELVU grants the Partner a non-exclusive, revocable right to use the name ZELVU and approved material supplied by ZELVU solely to refer learners. All brand and course material remains ZELVU's. The Partner must not copy, record, resell or share paid course content.
8. Suspension and termination
ZELVU may suspend or end a Partner's account immediately for breach of this agreement, fraud, harm to learners or to ZELVU's reputation, or any unlawful conduct. Commission obtained through breach is forfeited. Either side may end the relationship by notice; commission already earned and cleared on verified sales before the end date remains payable.
9. Confidentiality, liability and law
The Partner keeps non-public ZELVU information confidential. To the extent the law permits, ZELVU's total liability to a Partner is limited to commission earned and unpaid. ZELVU is not liable for indirect loss or lost expectation of earnings.
This agreement is governed by the laws of India. Courts at New Delhi have exclusive jurisdiction, after the parties first try in good faith to resolve any dispute through the ZELVU admissions and grievance team.
ZELVU may update this agreement by publishing a new version and asking the Partner to accept it in the dashboard. Continuing to refer learners after the notice period means acceptance.
10. Acceptance
The Partner accepts this agreement electronically when applying, by ticking the acceptance box while signed in to their verified learner account. ZELVU records the version and time of acceptance.
