Welcome to SQE Complete Preparation Programme. This original worked example shows a subject idea and a practical way to learn through the LMS. Sign in and open your authorised course from the study header. Choose the relevant subject lesson. Start Course Tutor with Auto audio on. It teaches continuously, answers a typed question and then resumes. For a proposed company transaction, section 177 of the UK Companies Act 2006 addresses a director’s direct or indirect interest. Read the duty, its timing and its exceptions together. A commercially attractive price does not by itself answer the disclosure question. In this original problem, Meera is a company director. The company proposes to buy a warehouse from a business that Meera owns. She knows of her ownership interest and the proposed purchase. Assume the other directors are unaware of it and no statutory exception applies. Identify the proposed transaction and Meera’s interest in it. Under the stated assumptions, she must declare the nature and extent of that interest to the other directors before the company enters the transaction. A statement that the price is fair does not disclose the ownership connection. The answer should address what must be declared and when. It should not infer that declaring the interest automatically satisfies every other company-law requirement. Separate this declaration issue from any further approval, voting or substantive-duty question. Ask Course Tutor: Would a fair market price remove the need to identify the director’s interest? Include the given facts and the step you tried. Not under these assumptions. Price and disclosure answer different questions. Check section 177’s actual exceptions rather than invent a fairness exception. Now assume the other directors already know the full nature and extent of the interest. Which part of the analysis must be revisited? Pause the video before the answer. Revisit the statutory exceptions concerning matters already known to the other directors. Explain the changed fact and check the provision before repeating the original conclusion. Do not assume all related duties disappear. Compare your reasoning, revisit the difficult step and explain the result in your own words. Continue to the next relevant lesson. Use Stop to end Course Tutor when you finish.
