Singapore — foreign-law registration, FPE status and permitted practice
Distinguish foreign-law practice from the FPE route and build a commercial-law practice file without implying current examination applications are open.

Foundational study guides: route orientation, study method and original worked practice. These are not a complete examination syllabus, an eligibility decision, regulator-endorsed training or a newly activated paid LMS course. Verify your individual requirements and examination session with the responsible regulator before committing money or making an application.
Chapter 1
Practice permissions and the current FPE position
Foreign-law registration is distinct from registration to practise permitted areas of Singapore law after the FPE route. Passing an examination is not unrestricted admission to every form of local practice. Check the proposed work and the relevant Legal Services Regulatory Authority registration requirements.
SILE says that FPE applications are closed during a comprehensive review; future examination dates and format updates remain to be announced. Its published eligibility overview includes relevant post-qualification practice and an appropriate Singapore practice position or offer, subject to the governing rules. Do not assume that any foreign LLB or any job automatically qualifies.
For planning, keep professional status, qualifying experience, proposed employer, intended practice scope and examination status in separate rows. Record evidence for each. Do not book an assumed examination sitting or claim eligibility from this guide. Recheck the official status before any application decision.

Chapter 2
Commercial practice as a sequence of decisions
Suggested preparation should connect company decisions, commercial obligations, financing arrangements and professional responsibilities. Start with the transaction's purpose and identify each party's role. Then trace the documents, approvals, conditions, risk allocation and unresolved factual enquiries. Use official reading lists when a relevant examination session is announced.
For a due-diligence exercise, produce a risk register rather than a pile of copied extracts. Each entry should state the issue, source document, why it matters, possible consequence, missing evidence and a proportionate response. Distinguish a fact requiring confirmation from a demonstrated breach.
Do not treat legal drafting as merely improving the sound of a clause. A useful change identifies whose risk is being addressed, how compliance will be measured and what happens if the condition fails. In advice, make clear what work is within the proposed practitioner's permitted scope and what requires another appropriately authorised professional.

Chapter 3
Original practice — a director's interest in a supply agreement
Fictional company rules: a director with a material personal interest must disclose it before the board decides and must not vote on the transaction. Approval requires a majority of eligible, unconflicted directors. Assume no other exception. These are supplied training rules, not a full statement of Singapore company law.
A three-director company is considering a supply contract. Director A owns the proposed supplier but does not disclose this. A and B vote in favour; C votes against. The company secretary says the resolution necessarily passes because two votes exceed one.
Prepare a board-process note explaining why counting all votes is not enough. Identify the disclosure defect, the eligible decision-makers and what should be done before treating the proposed agreement as properly approved. Do not infer that the contract is automatically void: the packet does not provide a complete third-party-effect rule.

Attempt first, then compare
Write your own response before revealing the explanation. Identify which facts activate the supplied rule and where further evidence is needed.
Reveal the worked model answer
A has a material interest under the assumed facts, must disclose it and cannot vote. Only B and C are eligible on this packet; their split votes do not produce the required majority. The secretary's arithmetic disregards the eligibility condition attached to voting.
Stop treating the resolution as established approval, record the interest and obtain a properly constituted decision under the applicable governing documents and law. Investigate any agreement already executed, but do not invent the effect on a third party. The answer should distinguish internal approval, professional handling and enforceability rather than collapse them into one conclusion.
Check your understanding
1. Does the guide identify an open FPE application window?
No. The current SILE page states that applications are closed and future sessions remain to be announced.
2. Is foreign-law registration the same as unrestricted Singapore admission?
No. Practice permission and the scope of any registration must be checked separately.
3. What is wrong with the secretary's two-to-one calculation?
It counts A's vote despite the assumed rule excluding the interested director.
Your next assignment
Prepare a permitted-practice scope statement and a fictional transaction risk register. Keep an official-status check as a prerequisite to making an FPE application plan.
Review your work for five things: correct issue, accurate source or supplied rule, relevant facts, reasoned conclusion and a practical next step. Use fictional or anonymised facts, not confidential client documents.
