A mutual fund is a public vehicle and therefore the most heavily restricted. It is constituted as a trust. The sponsor establishes it, trustees hold the assets for unit holders and owe them fiduciary duties, and an asset management company manages the investments for a fee under an agreement with the trustees. Compare the same investment decision across two vehicles to see the regulatory difference. A manager wants to take a large position in one unlisted company. In a mutual fund scheme, the decision runs into several restrictions at once. There are limits on exposure to a single issuer, limits on holdings in unlisted or illiquid securities, valuation rules requiring a fair value that cannot simply be the purchase price, and liquidity requirements because unit holders can redeem daily. Suppose the scheme has net assets of six hundred crore rupees and the applicable single-issuer limit for its category is five per cent. The maximum permitted is five per cent of six hundred crore, which is thirty crore rupees. If the manager wanted to invest fifty crore, the answer is simply no. In an alternative investment fund of the appropriate category, the same investment may be entirely ordinary, because the fund was raised from sophisticated investors for exactly that purpose, has a defined tenure so investors cannot redeem daily, and discloses its concentration to those investors. The limits that apply are those in its own placement memorandum and the regulations for its category. The lesson is that the restriction is not about the investment being good or bad. It is about matching the risk to the investors who bear it and to the liquidity they were promised. Nothing here recommends any investment. Which mistake would change the reasoning in this example? The first mistake is thinking lighter regulation means weaker obligations. An alternative investment fund has fewer retail protections but strict rules on who may invest, minimum commitment and disclosure to those investors. Fix it by describing the trade-off rather than the level. Ask Course Tutor: please explain this step from the example. Suppose the scheme has net assets of six hundred crore rupees and the applicable single-issuer limit for its category is five per cent. Why does it follow? Add what you tried, so the explanation addresses your difficulty. Now try the source practice. How is a mutual fund constituted in India? Pause before the answer. The source answer is: as a trust, with trustees holding assets for unit holders. Compare your reasoning as well as the result. If your response differs, return to the worked example and identify the step that needs correction. Explain the key idea in your own words, revisit any mistaken step, then continue to the next lesson. Use Stop to end Course Tutor when you finish.
